Terms of Service

1. The agreement

These Terms of Service are a contract between you (the person or business creating an account, “you”) and Sahayogi One Private Limited (“Sahayogi”, “we”), incorporated in India. By creating an account or using the Chat with Sahayogi service you agree to these terms and the linked Privacy Policy.

2. The service

Chat with Sahayogi is a cloud platform for WhatsApp-first business messaging — approved-template management, campaigns, contact and opt-in management, and integrations with the operator’s existing systems. Specific plan tiers, included quotas, and per-conversation rates are agreed in your service order; reach out via /contact for a current quote.

2a. Our role as a Business Solution Provider

We are an Authorised WhatsApp Business Solution Provider (BSP) in Meta’s Tech Provider programme. The legal effect of this:

  • We are not Meta Platforms, Inc., its subsidiaries, or its affiliates. Our authorisation gives us the right to provide WhatsApp Business services to you under Meta’s BSP terms; it does not make us Meta and it does not imply that Meta endorses any specific use you make of our platform.
  • You are the WhatsApp account holder for any WhatsApp Business Account you connect to our platform. The account, the phone number, and the customer relationships on that number remain yours.
  • Meta’s policies — the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy, the WhatsApp Business Solution Terms — apply to you directly. We cannot waive, modify, or override any Meta policy on your behalf.
  • If Meta imposes a restriction, ban, or other action on your WhatsApp Business Account, the dispute is between you and Meta. We will surface the restriction in your dashboard but cannot escalate or appeal it on your behalf. See our WhatsApp Business Policy compliance summary for the full breakdown.
  • We charge you for our platform service (per the published pricing tiers). We do not charge you for Meta’s per-conversation fees — those are billed by Meta directly to your Meta Business Account.

“WhatsApp” is a trademark of Meta Platforms, Inc. References to WhatsApp on this site are nominative (we are describing the platform you are connecting to) and do not imply ownership of or affiliation with the trademark.

3. Your account

  • You must be at least 18 years old and authorised to bind the business you’re creating an account for.
  • You’re responsible for keeping your credentials safe. Notify us immediately if you suspect unauthorised access.
  • You may have one workspace per Sahayogi One customer entity. Multiple workspaces per customer are billed separately.

4. Acceptable use

You agree NOT to use the service to:

  • Send unsolicited bulk messages outside the consent and quality-rating rules of Meta’s WhatsApp Business Messaging Policy.
  • Impersonate any individual, business, or authority.
  • Distribute illegal content, child-sexual-abuse material, terrorist content, or material that violates the IT Act, 2000 or the rules thereunder.
  • Probe, scan, or test the vulnerability of our infrastructure without prior written permission.
  • Reverse-engineer, decompile, or attempt to extract the source code of the service.

We may suspend or terminate accounts that breach this section. Meta’s policies may also trigger quality rating downgrades or messaging-tier reductions on your number, independent of our action.

5. Payment and billing

Billing on the Chat with Sahayogi platform has two distinct line items, as described on our pricing page. The platform subscription is invoiced by us; per-conversation charges on the WhatsApp Business Platform are invoiced by Meta directly to your Meta Business Account.

  • The platform subscription is charged monthly or annually in advance. All amounts are in Indian Rupees (INR) and exclusive of GST. The fee is agreed with your account manager based on expected conversation volume and required features, and recorded in your service order.
  • WhatsApp per-conversation rates (Marketing / Utility / Authentication) are set by Meta and billed by Meta to your Meta Business Account on a separate invoice. We do not mark up these rates and do not bill you for them.
  • Annual prepay subscriptions are non-refundable except in case of platform unavailability of more than 30 consecutive days not caused by you or by force majeure.
  • Our invoices include applicable GST. You’re responsible for furnishing a valid GSTIN before invoice issuance; we can’t backfill one after the invoice is issued.

6. Service availability

We target 99.5% monthly availability for the Chat with Sahayogi platform. Targets are commitments to ourselves, not contractual SLAs, unless your service order specifies otherwise. Some incidents are outside our control — including Meta-imposed restrictions on your WhatsApp Business Account, Meta WhatsApp Cloud API platform incidents, and upstream cloud-infrastructure outages.

7. Liability

To the maximum extent permitted by law:

  • Our total liability to you for all claims in any 12-month period is capped at the amount you paid us in that period.
  • We’re not liable for indirect, incidental, or consequential damages — including lost revenue from a Meta-imposed account block or a quality-rating downgrade.
  • We’re not liable for the content of messages you send. You own them, you’re responsible for them.

8. Termination

You can cancel any time from your account settings; you stay on your current plan until the end of the billing period. We can terminate for material breach of Section 4 with written notice, or immediately on receipt of a Meta or government takedown order.

9. Governing law and disputes

These Terms are governed by the laws of India. Courts of Pune, Maharashtra have exclusive jurisdiction, subject to mandatory consumer-court rights you may have under the Consumer Protection Act, 2019.

10. Changes

We’ll post material changes here at least 30 days before they take effect and notify customers by email. Continued use after the effective date constitutes acceptance. Major version bumps reset the agreement version; minor updates carry the same major.
